Frequently Asked Questions about the eBay Announcement
On June 1st, 2005, we announced that Shopping.com (parent company of Epinions.com) has signed a definitive agreement to be acquired by eBay, World's Online Marketplace® for the sale of goods and services by a diverse community of individuals and small businesses. The deal is subject to standard closing conditions including shareholder approvals.
We are very excited about this news and wanted to share it with you as soon as we could. You can read the official press release here.
We know that you will have questions about the deal. Unfortunately, the acquisition process prevents us from having much external communication including chats until the deal closes.
For now, we have prepared the following FAQ that hopefully addresses many of your important questions. As soon as the deal closes, we will hold a chat to answer more of your questions. We expect the deal to close by October 2005.
As you can imagine, there is plenty of work ahead of us. However, we are extremely excited about this opportunity and look forward to sharing more details with you as soon as we can.

How will this deal affect me?
|

Nothing about this deal should impact your regular interaction with the Epinions site, members, and staff. The Epinions site will continue to operate just as it does today. You will still visit Epinions.com, login with your Epinions username, submit reviews, trust/block people, edit/delete reviews, submit comments, rate reviews, earn Income Share, and everything else that you do today on the Epinions site. There should be no changes to your current experience with Epinions.
By joining the eBay family, we hope to invest more in our development efforts and to expand the capabilities of the Epinions site. eBay has a long tradition in creating robust communities and it should be no surprise that eBay views Epinions as an important asset in this merger.

Is there going to be a chat to discuss this news?

Yes. Due to legal constraints, however, our ability to communicate about this deal is limited at this time, and we cannot host a live chat until after the regulatory process is completed. We expect this to occur at the end Q3. In the meantime, we realize that many of you have comments about this announcement. Please feel free to submit comments to epi_chat@epinions-inc.com. Please understand that the legal constraints mean that we will not be able to give any more specifics about the deal. We will save any questions and plan to address them at the chat, after the deal has closed.

Is this good for Epinions' Reviewers?
|

Yes. We feel this is a good opportunity to combine our robust content platform with the World's Largest Marketplace®. eBay is a powerful platform for the sale of goods and services by a passionate community of individuals and businesses. As a part of eBay, we will look for opportunities to promote Epinions reviewers and reviews across eBay's marketplace.
We hope to increase the number of visitors to our site as a result of this merger, it is too early to comment on integration with eBay's Marketplace, but we will keep you informed to any changes to the site.
With significantly expanded resources of the combined company, we hope to dedicate more development resources to expanding and innovating on the Epinions site.

Will the Epinions site stay up?

Yes. The Epinions site will continue to operate as it does today. There will be no immediate changes to the site's design.

Will I continue to deal with the people I already know at Epinions?

Yes. You will continue to communicate with the Epinions staff that you already know, just as you do today. We are excited to join the eBay family and continue to grow the Epinions community.

Do I still retain ownership of my content?

Yes. We do not currently plan any changes to the Epinions User Agreement regarding authors' ownership or rights to their reviews.

Will we continue to receive Income Share?

There will be no immediate changes to the distribution of Income Share.

Will you be increasing the amount of Eroyalties that we receive?

No. At this time there is no plan to materially change the amount of Eroyalties distributed.

No. We do not have any plans to change the structure of the community. The selection process for these positions will not be changing at this time.

Now that Epinions is part of a larger organization is it going to be harder to communicate with the company?

No. We will keep the same level of staff, and hope to increase the number in the upcoming months, focused on communicating with reviewers and members.

Unfortunately, due to legal and regulatory considerations, we cannot provide additional details until the deal is closed. This FAQ is designed to answer what we thought would be the most important questions for Epinions' members.
